Terms of Service
The terms on which we provide engineering services, and on which you use this website. A signed engagement document takes precedence over this page.

These terms, and who they are with
These terms govern your use of maatx.xyz and, where stated, the engineering services provided by MaatX (“we”, “us”, “our”).
By using this website you accept the terms below that govern website use. The sections describing engagements, deliverables and fees apply once we have agreed paid work.
A signed engagement document takes precedence over this page. Where we agree a proposal, statement of work or services agreement with you, that document governs the work. These terms fill the gaps it does not address; they do not override it.
What this website is
This website describes our capabilities and shows our engineering work. Nothing on it is an offer capable of acceptance, a quotation, or advice you should act on without talking to us.
The product systems shown in our work section are our own demonstrations. They are engineered interfaces and architectures built by us to show how we approach a problem. They are not client deployments, and they are not presented as such. Any figures, metrics, transaction values or company names appearing inside those interfaces are illustrative and do not describe real businesses, real volumes or real outcomes.
Prices shown are starting points, not quotations. Where we publish a figure such as a price from which an engagement starts, it describes the scope set out beside it and nothing else. It is not an offer, and the price for your project is the one in a written proposal we have both agreed.
Acceptable use of this website
You may read this site, link to it, and quote from it with attribution. In using it, you agree not to:
- Attempt to gain unauthorised access to any part of the site, its hosting, or any system or network connected to it.
- Interfere with how the site operates, including by overloading it or by introducing malicious code.
- Harvest or systematically extract content or contact details by automated means. Search engine crawlers that obey our `robots.txt` are welcome; nothing else is.
- Reverse engineer or attempt to derive the source of anything we have not published openly.
- Use the site or its content to train a machine learning model for commercial resale.
- Use the site for any unlawful purpose, or in a way that infringes anyone else’s rights.
We may withdraw access to the site, in whole or in part, where we reasonably believe these terms have been breached.
Scope of services
We provide professional engineering services, which may include:
- Discovery, architecture and technical due diligence.
- Software design, development, testing and deployment.
- AI systems engineering, including retrieval, agent and evaluation infrastructure.
- Blockchain and distributed systems engineering.
- Modernisation, performance and reliability work on existing systems.
- 3D, CGI and visualisation work.
The specific deliverables, timeline, acceptance criteria and fees for any engagement are set out in the written proposal or statement of work for that engagement. Anything not written there is not in scope.
What we do not provide. We are engineers, not advisers. Nothing we deliver is legal, regulatory, tax, financial, investment or accounting advice. This matters particularly in the blockchain and financial infrastructure work we do: a system we build to your specification is not an opinion that the system is lawful, compliant or suitable in your jurisdiction, and you remain responsible for obtaining that advice.
Security reviews are not warranties. Where our work includes auditing, testing or reviewing code, our findings describe what we found in the time and scope agreed. Absence of a finding is not a guarantee that no defect or vulnerability exists.
Fees and payment
Fees, currency, invoicing schedule and payment terms are those set out in the applicable proposal or statement of work.
Unless that document says otherwise: invoices are payable within 15 days; fees are exclusive of taxes, duties and third-party costs such as cloud, model or infrastructure charges, which are charged at cost; and we may suspend work on an overdue account after giving you written notice and a reasonable opportunity to pay.
Expenses outside the agreed scope are charged only where you have approved them in writing in advance.
Your responsibilities
For us to deliver, you agree to:
- Give us timely access to the people, systems, credentials, environments and information the work needs.
- Make decisions and give approvals within the timescales the engagement assumes, and accept that delays on your side may move dates and cost.
- Ensure you have the right to give us anything you give us, including data, code, designs and third-party materials.
- Keep your own backups of your systems and data, independently of us.
- Hold the licences and consents required for the systems we build on your behalf, including any required to process personal data in them.
Intellectual property
Deliverables. On full payment of the fees for an engagement, we assign to you the intellectual property rights in the bespoke deliverables created specifically for you under it. Until payment is made in full, those rights remain ours and you have no licence to use the deliverables in production.
What stays ours. We retain all rights in everything that predates or sits outside your engagement: our tools, libraries, frameworks, internal infrastructure, methodologies, know-how, and the product demonstrations shown on this website. Where a deliverable incorporates any of that pre-existing material, you receive a perpetual, worldwide, non-exclusive licence to use it as part of the deliverable — enough to run, modify and extend what we built, without transferring ownership of the underlying component.
Residual skill. Nothing in these terms prevents us from using the general skills, experience and knowledge our engineers develop while working with you. We do not need your permission to know how to do our job afterwards.
Open-source and third-party components. Deliverables may include third-party or open-source components, which remain subject to their own licences. We will tell you what they are and what those licences require.
Our name and your name. Neither of us may use the other’s name, logo or trade marks publicly without written consent. We will not name you as a client, describe your project, or publish a case study about it unless you have agreed in writing to that specific use.
This website. All content on maatx.xyz, including its text, design, code and the interfaces shown in our work section, is ours and protected by copyright. You may read it, link to it and quote it with attribution. You may not copy it substantially, republish it as your own, or use it to train a model for commercial resale.
Confidentiality
Each of us may receive information the other treats as confidential. Each of us agrees to use the other’s confidential information only to perform the engagement, to disclose it only to people who need it and are under equivalent obligations, and to protect it with at least the care we apply to our own.
These obligations do not apply to information that is public through no breach of these terms, that the receiving party already held or developed independently, or that must be disclosed by law — and in that last case the disclosing party will be told first where it is lawful to tell them.
Confidentiality survives the end of an engagement and continues for five years, except for anything that qualifies as a trade secret, where it continues for as long as that remains the case.
Unsolicited material. Please do not send us confidential information before we have an agreement in place. Where you send us something unsolicited, we will treat it with reasonable care but cannot accept confidentiality obligations we have not agreed to.
Warranties and disclaimers
We warrant that we will perform the services with reasonable skill and care, by suitably competent people, in line with the standards of a professional engineering practice.
Beyond that warranty, and to the extent the law allows, the services and this website are provided without further warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that software will be free of all defects, that it will operate uninterrupted, or that it will produce any particular commercial result.
AI-based systems. Systems incorporating machine learning models are probabilistic. They can produce output that is wrong, incomplete or unexpected even when correctly engineered. We build evaluation, grounding and human-approval controls where an engagement calls for them, and those controls reduce that risk without eliminating it. We do not warrant the accuracy of any individual model output.
Distributed ledger systems. On-chain systems carry risks outside our control, including network congestion and reorganisation, changes to the underlying protocol, oracle failure, third-party contract failure, and the irreversibility of transactions. Where you deploy a system we build, you accept those risks. Deployment, key custody and the handling of real funds are your responsibility unless an engagement document expressly says otherwise.
Limitation of liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct.
Subject to that, and to the extent the law allows:
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business, goodwill, or data, however caused.
- Our total aggregate liability arising out of or in connection with an engagement is limited to the total fees paid by you to us under that engagement in the twelve months before the event giving rise to the claim.
- Our total aggregate liability in connection with your use of this website, where no engagement exists, is limited to INR 10,000.
- Any claim must be brought within twelve months of the date you became aware of the circumstances giving rise to it.
These limits reflect how fees are set. A different allocation of risk is negotiable in an engagement document, and may change the price.
Indemnities
We indemnify you against third-party claims that a bespoke deliverable we built for you infringes that third party’s intellectual property rights — provided you tell us promptly, let us control the defence and any settlement, and give us reasonable assistance.
That indemnity does not apply where the claim arises from materials you supplied, from your modification of a deliverable, from combining it with something we did not provide, or from your continuing to use a deliverable after we have offered a non-infringing replacement.
You indemnify us against third-party claims arising from materials, data, code or instructions you give us — including any claim that we were not permitted to use them — and from your use or operation of a deliverable after we have delivered it.
Each indemnity is subject to the limits in Limitation of liability.
Term and termination
Either of us may terminate an engagement by giving 30 days written notice, or immediately if the other commits a material breach and fails to remedy it within 15 days of being told about it in writing.
On termination you pay for work properly performed and for approved commitments we cannot cancel, up to the termination date. We will hand over completed work and, where fees are paid, the deliverables produced so far. Sections on intellectual property, confidentiality, liability and governing law survive termination.
Data protection
How we handle personal data on this website, including enquiries and business contact information used for outreach, is described in our Privacy Policy.
Where an engagement requires us to process personal data on your behalf, you are the controller and we are the processor. We will process it only on your documented instructions, and we will enter into a data processing agreement with the terms the applicable law requires before that processing begins.
General
Independent contractor. We provide services as an independent contractor. Nothing here creates an employment relationship, partnership, joint venture or agency between us.
Non-solicitation of personnel. Neither party will solicit the other’s personnel for employment during an engagement or for six months after it ends. A general public advertisement is not solicitation.
Subcontracting and assignment. We may use subcontractors, and we remain responsible for their work. Neither party may assign these terms without the other’s written consent, except to a successor of its business.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
Severability and waiver. If any provision is unenforceable, the rest continues in force. A failure to enforce a right is not a waiver of it.
Entire agreement. These terms, together with any proposal or statement of work we have both agreed, are the whole of what has been agreed between us and replace any earlier discussion, proposal or representation. Neither of us relies on anything said outside them — except that nothing here excludes liability for fraudulent misrepresentation.
Third-party sites and services. Where this site links to another website, or where a deliverable integrates a third-party service, we are not responsible for that third party’s content, availability, pricing or terms.
No third-party rights. These terms are between us. Nobody else acquires a right to enforce them.
Changes. We may update these terms, and the date at the top of this page shows when they last changed. Changes apply to website use from the moment they are published, and to an engagement only by written agreement.
Governing law and jurisdiction
These terms, and any dispute arising out of or in connection with them or with the services, are governed by the laws of India, without regard to conflict-of-laws rules.
The courts at Indore, Madhya Pradesh, India have exclusive jurisdiction, and both parties submit to it. Nothing in this section prevents either party from seeking urgent injunctive relief in any competent court to protect its confidential information or intellectual property.
Before starting proceedings, each party agrees to raise the issue in writing with the other and to attempt in good faith to resolve it within 30 days. This does not apply where urgent relief is needed.
